Can I resell unused Window 7 Professional Upgrade?

I bought Windows 7 Home Premium 64 bit Upgrade AND Professional 32 bit upgrade.... I ended up using the Home Premium 64 bit. The Pro Upgrade was never installed and the Product Key was never used. Can I resell it even when the disc says "not for resale"? I'm not really sure if that means selling after using or selling at all.
